This End-User License Agreement (“Agreement”) governs use of Nexus (the “Application”), an internal business automation tool operated by Logic Networks Technologies, LLC (“Logic Networks,” “we,” “us,” or “our”). The Application is used to support Logic Networks’ internal QuickBooks Online accounting workflows, including invoice creation and related administrative accounting tasks.

By accessing or using the Application, you agree to this Agreement. If you do not agree, do not use the Application.

1. Authorized Use

The Application is intended for authorized Logic Networks administrative users only. It is not a consumer application and is not intended for public self-service use.

You may use the Application only for legitimate business purposes related to Logic Networks accounting, invoicing, customer administration, and related internal operations.

2. QuickBooks Online Access

The Application connects to QuickBooks Online through Intuit’s authorized OAuth and API services. You must be authorized to access the applicable QuickBooks Online company before connecting the Application.

The Application may read or write accounting information only as needed to perform authorized tasks, such as locating customers, locating service items, creating invoices, reviewing invoice data, and maintaining related accounting workflow records.

3. User Responsibilities

You are responsible for:

  • Using the Application only for authorized Logic Networks business purposes.
  • Ensuring invoice and accounting entries are accurate before submission.
  • Protecting your own device, browser session, and authorized account access.
  • Not sharing credentials, authorization links, tokens, or restricted accounting data with unauthorized parties.
  • Promptly reporting suspected unauthorized access, security issues, or incorrect accounting activity to Logic Networks.

4. Restrictions

You may not:

  • Use the Application for unlawful, fraudulent, abusive, or unauthorized purposes.
  • Attempt to access QuickBooks Online companies or data for which you are not authorized.
  • Reverse engineer, modify, resell, sublicense, or redistribute the Application.
  • Interfere with the Application, Intuit services, or related systems.
  • Use the Application to process payments, payroll, lending, insurance, investment, or regulated financial products unless Logic Networks has expressly authorized and configured that functionality in writing.

5. Data and Privacy

Use of information through the Application is governed by the Nexus Privacy Policy. The Application is designed for internal accounting automation and does not sell QuickBooks customer data.

6. Ownership

The Application, related workflows, documentation, scripts, designs, and business logic are owned by Logic Networks or its licensors. No ownership rights are transferred to you under this Agreement.

7. Third-Party Services

The Application depends on third-party services, including QuickBooks Online and Intuit developer services. Your use of those services may also be governed by Intuit’s terms, policies, permissions, and service availability.

Logic Networks is not responsible for outages, errors, limitations, or changes in third-party services outside of Logic Networks’ control.

8. Availability and Changes

The Application may be updated, suspended, limited, or discontinued at any time for security, operational, compliance, or business reasons. Logic Networks may modify this Agreement by posting an updated version.

9. No Professional Advice

The Application supports accounting workflow automation, but it does not provide legal, tax, accounting, or financial advice. Users remain responsible for reviewing and approving accounting entries and consulting qualified professionals when needed.

10. Disclaimer of Warranties

The Application is provided “as is” and “as available.” To the fullest extent permitted by law, Logic Networks disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law, Logic Networks will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from use of the Application. Logic Networks’ total liability related to the Application will not exceed the amount paid by the user for use of the Application during the three months before the claim, or $100 if no amount was paid.

12. Termination

Logic Networks may suspend or terminate access to the Application at any time if use is unauthorized, creates security or compliance risk, violates this Agreement, or is no longer needed for business operations.

13. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles, unless a different law is required by applicable law.
